01Who provides the service

Insido is the brand under which advertising analysis services and related consulting are provided by the following company (the “provider”):

Vespr Advisory s.r.o.
Company ID (IČO): 29616336
Nýdecká 444, Letňany, 199 00 Praha 9
Registered in the Commercial Register maintained by the Municipal Court in Prague, Section C, File 449252.
Email: kontakt@vespr.cz

These terms govern the provider’s cooperation with entrepreneurs and legal entities ordering the service for their business or professional activities (the “client”). Consumer orders are not concluded through this website.

These terms become part of the contract if the offer or contract expressly refers to them and the client can review them before entering into the contract. A specific written agreement takes precedence over these terms.

02What the service covers

The service consists of preparing an analysis of the advertising activities of selected entities, primarily on Google and Meta platforms. Depending on the agreed brief, it may cover advertising messages and creatives, investment, budgets, targeting, campaign settings, reported results and their comparison.

The scope confirmed in the offer is decisive: the entities and markets analysed, the period covered, the available data items, the format of the deliverable and any consultations. Examples on the website illustrate possible uses of the service and do not automatically form part of every assignment.

Reported results are based on available sources and their methodologies. Conversion value or ROAS does not, by itself, represent a company’s profit. The analysis covers the agreed period and does not include ongoing updates unless expressly ordered.

03Enquiries and entering into a contract

Submitting a form on the website, Facebook or Instagram constitutes a non-binding enquiry. It does not create an order or an obligation to pay. Acknowledgement of receipt of the form only confirms that the brief has been received.

After clarifying the brief, the provider submits an offer specifying the scope of the service, price, deadline, delivery method and payment terms. A contract is formed when this offer is accepted without reservations during its validity period, for example by email, or when a separate contract is signed. Acceptance with amendments requires the provider’s confirmation.

Communications are handled by a person authorised to act for the client. Before starting work, the provider informs the client of the materials required. Work beyond the agreed scope must be approved in advance, including its impact on the price and deadline.

04Price and payment

The price, any advance payment, due dates and payment milestones are agreed in the specific offer or contract. The offer states whether the price includes VAT or whether VAT does not apply. The website itself does not set a single price for all analyses.

The provider charges only for agreed services and additional costs approved in advance. Where an advance payment is agreed, the start of work may be conditional on its payment. The client receives payment details on the issued billing document.

In the event of late payment, the provider may suspend work after giving notice and allowing a reasonable additional period for payment. The provider informs the client of any impact on the deadline. This does not affect the parties’ statutory rights.

05Materials and cooperation

The client supplies an accurate brief and the necessary materials within the agreed timeframe. If an agency or external team acts on the client’s behalf, the client ensures that it is authorised to share the materials. Passwords, payment details and access credentials for third-party accounts must not be sent through the standard enquiry form.

If an assignment requires access to an account or non-public data, the authorisation for that access and the purpose of use must be clarified in advance. The service does not include bypassing security, unauthorised access or obtaining data unlawfully.

The provider points out any ambiguities in the brief, unsuitable materials or limitations that it identifies. Delays in cooperation may extend the deadline to the extent that they demonstrably prevent work from proceeding; the provider explains and communicates any change to the deadline.

06Deadline and delivery of the analysis

The offer or contract specifies the delivery deadline and format. The deliverable is provided electronically to the agreed contact or through an agreed storage service. The provider announces its completion and makes the agreed deliverable available to the client.

If it becomes apparent that the agreed data or a substantial part of the service cannot be delivered, the provider informs the client without undue delay and proposes a solution. The provider does not unilaterally change the scope or price of the assignment. Undelivered services and any refund of an advance payment are settled in accordance with the agreement and applicable law.

After receiving the deliverable, the client checks it and reports any defects identified. The client’s silence alone does not constitute a waiver of rights arising from defective performance.

07Feedback and complaints

If the deliverable does not meet the agreed brief, send a complaint to kontakt@vespr.cz. Specify the assignment, describe the problem and identify the affected part of the deliverable. Report defects without undue delay after discovering them.

The provider assesses the complaint, informs the client of the next steps and remedies any justified defect within a reasonable period appropriate to its nature. If a remedy is not possible, the parties address an appropriate price reduction or other statutory claims. Rights arising from defective performance are governed by the contract and the Civil Code.

Extending the analysis to another period, additional competitors or new questions constitutes a change to the brief, rather than a complaint, if those elements were not agreed. Limitations of sources do not, by themselves, excuse failure to deliver the expressly agreed scope.

08Use of deliverables and confidentiality

After paying the agreed price, the client may use the deliverable on a non-exclusive basis for its internal business purposes and share it with management, employees or advisers who need it for their work and maintain its confidentiality. A different scope of use may be agreed in the contract.

Public disclosure or resale of the entire deliverable requires prior agreement with the provider and respect for third-party rights. This does not limit the client’s statutory entitlements. Rights to third-party trademarks, advertisements and other materials remain with their holders.

Both parties protect non-public briefs, deliverables and business information obtained during their cooperation. They may disclose them to the extent necessary to authorised collaborators bound by confidentiality, or where required by law. This obligation does not apply to information that is publicly available without a breach of contract.

09Liability and termination

The provider is responsible for performing the service professionally and in accordance with the agreed brief. The analysis supports the client’s decision-making; it does not guarantee a specific business outcome, profit level, number of customers or future campaign performance. The client makes its own advertising decisions.

These terms do not exclude the provider’s statutory liability for damages. Any individually agreed limitations of liability cannot be interpreted as excluding claims whose limitation is not permitted by law.

An assignment may be terminated by agreement or on grounds provided for in the contract or by law. Upon agreed termination, work actually performed and approved costs are settled; the provider supplies a breakdown of these amounts. Any overpayment is returned without undue delay. These terms do not introduce an automatic non-refundable cancellation fee.

10Personal data and final provisions

The processing of contact details, enquiries and data arising from cooperation is described on the separate page Privacy policy. Any processing of personal data on the client’s behalf must be governed by a separate arrangement appropriate to the nature of the service.

The contract and these terms are governed by the laws of the Czech Republic. The parties first attempt to resolve any dispute through negotiation; if this is not possible, the competent court decides in accordance with applicable law.

Each assignment is governed by the version of the terms accepted when the contract was concluded. The subsequent publication of a new version does not, by itself, change an existing contract. The terms are available in Czech and can be saved or printed from the browser.
